About These Terms

These terms and conditions govern the provision of web design and related services by Let It Be Dull Ltd (trading as High Vis Web, "we", "us") to you ("the Client"). By engaging our services, you agree to these terms.

Services

We provide website design, development, and related digital services for trade businesses. The specific scope of work for each project is agreed in writing before work commences.

Services are offered across four tiers: Template ($199 + GST) - supply of a pre-designed website template customised with your business details; Starter ($500 + GST) - custom website build with basic features; Standard ($750 + GST) - custom website build with enhanced features; Pro ($2,000 + GST) - full custom website with advanced features and ongoing support.

Payment Terms

Template Tier: Full payment is required before work commences. No work will begin until payment is received.

Starter, Standard, and Pro Tiers: A deposit of 50% of the agreed project fee is required before work commences. The remaining 50% is due on project completion, prior to the website going live.

All prices are in New Zealand dollars and exclude GST unless otherwise stated. Invoices are issued via email and are payable within 7 days.

Late payments may incur interest at 2% per month on the outstanding balance. We reserve the right to suspend or withhold delivery of work until outstanding payments are received.

Revisions

Each project tier includes a defined number of revision rounds as outlined in your project agreement. Revisions beyond the included rounds will be charged at our standard hourly rate, which will be communicated to you in advance.

A revision is defined as minor adjustments to existing content or design. Significant changes to scope, layout, or functionality constitute a new scope of work and will be quoted separately.

Client Responsibilities

You agree to provide all required content (text, images, logos) within agreed timeframes, respond to requests for feedback or approval within 5 working days, ensure all content provided is accurate and that you have the right to use it, and provide a single point of contact for approvals and communications.

Project delays caused by late content or approvals from the Client may result in revised timelines and may incur additional charges.

Intellectual Property

Upon receipt of full payment, you own the final website design and content as delivered. We retain the right to display the completed work in our portfolio and marketing materials unless you request otherwise in writing.

We retain ownership of any proprietary code, frameworks, or tools used in the build. Any third-party assets (fonts, stock images, plugins) are subject to their own licences, which we will disclose to you.

Hosting and Ongoing Maintenance

Unless a retainer arrangement is agreed, we are not responsible for hosting, ongoing maintenance, security updates, or third-party service fees after the project is delivered.

We recommend you maintain your own backups and keep any software or plugins updated. We accept no liability for issues arising from failure to maintain your site after delivery.

Limitation of Liability

Our total liability to you in connection with any project is limited to the fees paid for that project. We are not liable for any indirect, consequential, or economic loss, including loss of business, revenue, or data.

We do not guarantee specific outcomes such as search engine rankings, traffic volumes, or lead generation results.

Cancellation

If you wish to cancel a project after work has commenced, you will be charged for work completed to date. Deposits are non-refundable once work has begun.

We reserve the right to cancel a project if you fail to provide required materials or payments within agreed timeframes, or if the working relationship becomes unviable. In such cases, payment for work completed to date is due.

Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be subject to the jurisdiction of the New Zealand courts.
